1. It's unclear, it may be just another complex element they wanted to prove they could manufacture to see just how far the S3 Plan could go.

2. My interpretation is that the perfected AI is an AI that has the data on the S3 Plan experiment that was the Big Shell incident. Even if it GW is left in tatters the data they gathered can be used to make a better GW since the entire point of the system is to affect global events. GW's perfected AI is how they achieve the S3 Plan, so they care about it insofar as achieving that goal, but the planned Worm Cluster incident was all part of reaching that too.
